Terms of Service

1. Agreement to Terms
By accessing or using EditAI (“the Service”), operated by Nexus Prime Holdings (“we”, “us”, “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service.
We may update these Terms from time to time. Continued use of the Service after changes are posted constitutes acceptance of the updated Terms.
2. Account Registration
To use EditAI, you must create an account through our authentication provider, Clerk. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You must provide accurate and complete information during registration. You agree to notify us immediately of any unauthorized use of your account.
3. Service Description
EditAI is an AI-powered video editing platform. You upload video files, provide natural language editing instructions, and our service processes those instructions using AI models and cloud-based rendering (FFmpeg) to produce edited video exports.
4. Content Ownership
You retain full ownership of all video content you upload to EditAI and all edited outputs produced by the Service. We claim no ownership over your content.
We do not use your content to train AI models. Your videos, transcripts, and editing data are used solely to provide the Service to you.
5. License Grant
By uploading content to EditAI, you grant us a limited, non-exclusive, royalty-free license to store, process, transcode, and transmit your content solely for the purpose of providing the Service to you. This license terminates when your content is deleted from our systems.
6. Acceptable Use
You agree not to use EditAI to:
- Upload, process, or distribute content that is illegal, infringing, defamatory, obscene, or harmful.
- Attempt to reverse engineer, decompile, or disassemble any part of the Service.
- Use the Service to build a competing product or for automated scraping.
- Circumvent usage limits, rate limiting, or access controls.
- Interfere with the operation of the Service or overload our infrastructure.
- Share your account credentials with others or use the Service on behalf of a third party without authorization.
7. Free, Pro, and Studio Plans
EditAI offers a Free plan, a Pro plan, and a Studio plan. The Free plan includes limited video processing (currently 3 videos per month, up to 10 minutes each). The Pro plan provides unlimited videos up to 60 minutes each, project history, priority rendering, and auto-captions. The Studio plan extends Pro with support for videos up to 4 hours, priority support, early access to new features, and advanced color grading.
We reserve the right to modify plan features and limits at any time. Material changes to paid plans will be communicated in advance.
8. Payment Terms
Payments for paid plans are processed by Paddle. By subscribing, you authorize recurring charges at the then-current rate on a monthly billing cycle. All amounts are in USD unless otherwise stated.
We may change pricing with at least 30 days' notice. Price changes take effect at the start of your next billing cycle after the notice period.
9. Free Trial
All new accounts receive a 30-day free Pro trial. During the trial period, you have full access to Pro features including premium AI and unlimited videos. After the trial ends, your account reverts to the free plan unless you subscribe.
10. Cancellation and Refunds
You may cancel your subscription at any time. Upon cancellation, you will retain access to paid features until the end of your current billing period. After that, your account will revert to the Free plan.
You may request a full refund within 14 days of any payment, for any reason, no questions asked. To request a refund, contact us at [email protected]. Refunds are processed by Paddle and typically returned within 5-10 business days.
11. Service Availability
We strive to provide the Service 24/7 but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.
We do not offer a formal service-level agreement (SLA). We will make reasonable efforts to minimize downtime and restore service promptly.
12. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
AI-generated edits, transcriptions, and captions are produced automatically and may contain errors. We do not guarantee the accuracy, quality, or suitability of AI-generated output. You are responsible for reviewing all edited content before publishing or distributing it.
13. Limitation of Liability
To the maximum extent permitted by law, EditAI and its operators, affiliates, and suppliers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or in connection with your use of the Service.
Our total aggregate liability for any claims arising from your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
14. Indemnification
You agree to indemnify, defend, and hold harmless EditAI and its operators from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Service, your content, or your violation of these Terms.
15. Termination
We may suspend or terminate your account at our discretion if we reasonably believe you have violated these Terms. Upon termination, your right to use the Service ceases immediately.
You may close your account at any time. Upon account closure, we will delete your data in accordance with our Privacy Policy.
16. Governing Law
These Terms are governed by and construed in accordance with applicable law. Any disputes arising from these Terms or your use of the Service will be resolved in the appropriate courts of the jurisdiction in which we operate.
17. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
